Brunet Visions - Memory Wraps MemoryWraps.com Affiliate Agreement.

Brunet Visions sets forth the terms and conditions regarding the Affiliate Program of MemoryWraps.com.

Affiliates are responsible for updating any products feeds used.

BY REGISTERING FOR OUR AFFILIATE PROGRAM, YOU AGREE TO THE FOLLOWING TERMS AS AN INDIVIDUAL OR COMPANY.  ALL AFFILIATES AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.  READ ENTIRE AGREEMENT CAREFULLY BEFORE ACCEPTING OUR TERMS.

Underlined words - these words represent sections of our agreement.

Affiliate - affiliate represents you, affiliate who will be earning commission from our services and affiliate program provided by Shareasale.com.

Linking

Affiliate agrees to post at least one working link with correct affiliate code to MemoryWraps.com from their working website within 30 days of accepting affiliate agreement.  Affiliate agrees to use only those graphics provided by MemoryWraps.com.  Under no condition may the affiliate use graphics from MemoryWraps.com without personal permission from Brunet Visions.

Use

Under no circumstance may the affiliate use MemoryWraps.com and/or Brunet Visions in a manner that is defamatory, misleading, libelous, obscene or potentially damaging to the reputation of MemoryWraps.com and Brunet Visions.  Memory Wraps and Brunet Visions may refuse to enter into this Agreement for any reason including, but not limited to sites that promote competitive programs, sites that list or link to pornographic material, encourage illegal activities, discriminate as well as any other information that MemoryWraps.com and Brunet Visions find offensive.  This Agreement will be come effective once affiliate has agreed to join said affiliate program of MemoryWraps.com.

MemoryWraps.com and Brunet Visions grants affiliates the right to use said affiliated banners and/or links given personally by Brunet Visions and/or those listed within Shareasale affiliate program to be used for MemoryWraps.com.

MemoryWraps.com and Brunet Visions reserves all rights to any graphics and information contained and/or used within or abroad for MemoryWraps.com and Brunet Visions.

Responsibility

Affiliate will be solely responsible for operation, maintenance and development of affiliates own website.  Affiliate is responsible for all materials promoted from within their own website including any outside paid programs.  All advertising programs on affiliate's website including such programs as Google Addwords are the responsibility of said affiliate.  Affiliate hereby agrees to indemnify and hold MemoryWraps.com and Brunet Visions harmless from any and all claims, damages and expenses including attorney and/or court fees arising from the development, operation, maintenance and contents of affiliate site.

Affiliate sites that offer offensive products and/or information that include but are not limited to, adult related products, drugs, illegal activities etc. will be terminated.  Any affiliate promoting false advertising for MemoryWraps.com or Brunet Visions will be terminated.  Affiliate is solely responsible for any wrong doing on their part that promotes MemoryWraps.com or Brunet Visions.

Affiliate is responsible for keeping their links as well as information on MemoryWraps.com updated with the latest affiliate information.

Affiliate Payments

MemoryWraps.com and Brunet Visions combined will pay affiliates according to the following Revenue Commission Guidelines ie. Payment Fees.

Orders $0 or more - 12%

No Payments will be made without finished transactions.  Any refunds given back to customers from their previous purchase will be deducted from the money owed to said affiliate if said affiliate has earned a percentage from the previous sale.

Percent commissions does not include shipping prices.  Percent commissions is counted "after" coupons have been used.  Example: $12 order - $2 coupon = % of $10.

No payments shall be made for traffic driven visitors should they leave MemoryWraps.com website without making a purchase.  Any customer visiting for the first time within the past 30 days to MemoryWraps.com through an affiliated url will be tracked by cookie for said 30 days.  Should a customer return before said 30 days are up to make an order, affiliate will earn their commission.  Should customer return after the 30 days and/or come through another affiliate link before coming from said affiliate's link and makes an order, said affiliate will not make a commission for said purchase.  Affiliate must be the last referrer within 30 days with their affiliate link to earn the commission of made order.  If the affiliate is not the most recent sender, they will not earn said commission.  Should the customer return without coming through another affiliate, tracking will continue for 30 days.

Payment threshold - when balance is $25 or more.  Payments are processed through Shareasale.com affiliate services.  Affiliate agrees to read shareasale.com payment information as well as agreeing to their abide terms before accepting our agreement.

Privacy of Customer

Affiliate agrees to keep any and all information pertaining to to our affiliate program, affiliate agreement, stats, customer information as well as any sales information personal.  Affiliate will not give any information of any purchase and/or anything to do with MemoryWraps.com Brunet Visions or said customers of MemoryWraps.com to any outside party and/or are unable to use said information for their own gathering without MemoryWraps.com approval.

Termination

Affiliate may be terminated by either party at any said time agreed upon with said Shareasale affiliated agreements and/or be terminated due to breach of agreement.  Affiliate will immediately remove all links as well as any other information to MemoryWraps.com or Brunet Visions from said business.  Memory Wraps will in turn pay any owed affiliate payment above the minimum threshold within 60 days.

Any documents given by MemoryWraps.com or Brunet Visions must immediately be destroyed or delivered back to MemoryWraps.com and/or Brunet Visions upon removal of affiliate status.  Affiliate agrees to contact MemoryWraps.com before doing so.

MEMORYWRAPS.COM AND BRUNET VISIONS HAVE THE RIGHT TO CHANGE ANY AND ALL INFORMATION AT ANY TIME LISTED WITHIN THIS AFFILIATE AGREEMENT.  IF AFFILIATE FINDS ANY CHANGED UNACCEPTABLE, AFFILIATE MUST TERMINATE AGREEMENT IMMEDIATELY AFTER POSTING OF NEW INFORMATION.

AT NO TIME SHOULD AFFILIATE BID ON THE FOLLOWING WORDING THROUGH ANY FORM OF ADVERTISING, THIS INCLUDES ANY COMBINED WORDING THAT USES ANY OF THE FOLLOWING: Memory Wraps - MemoryWraps.com - Brunet Visions.

MEMORYWRAPS.COM WEBSITE AND BRUNET VISIONS SERVICES ARE PROVIDED AS IS WITH NO WARRANTY, AN MEMORYWRAPS.COM EXPRESSLY DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, REGARDING THE MEMORYWRAPS.COM AND BRUNET VISIONS WEBSITES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS OR PARTICULAR PURPOSE OR NON-INFRINGEMENT AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

UNDER NO CIRCUMSTANCES WILL MEMORYWRAPS.COM OR BRUNET VISIONS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING FROM ANY PROVISION OF THIS AGREEMENT.

AFFILIATE AGREES TO ALL TERMS LOCATED WITHIN SAID AFFILIATE AGREEMENT WITHIN SHAREASALE'S AFFILIATE PROGRAM WHICH IS USED FOR MEMORYWRAPS.COM.  SHOULD AFFILIATE NOT AGREE TO PAYMENT TERMS FROM WITHIN SHAREASALE, AFFILIATE MUST NOT BECOME AFFILIATED WITH OUR PROGRAM.

WE DELIVER TO US CUSTOMERS ONLY.

Affiliate shall not accept said agreement without proper consent from the program they are currently working for.  Should affiliate be agreeing to our affiliated terms without proper consent of the company or business they represent, they agree to indemnify and hold MemoryWraps.com and Brunet Visions harmless from any and all claims, damages or expenses of any type including attorney fees from breach of agreement.
